Winston & Strawn Welcomes Tax Attorney Jennifer Morgan Back to Firm’s Los Angeles Office as Partner

Winston & Strawn LLP announced today that Jennifer Morgan has rejoined the firm’s Los Angeles office as a partner in the Transactions Department as a member of the firm’s Tax practice with a special focus in the Energy & Infrastructure industry group. She was of counsel with Winston from 2018 to 2021 and rejoins from Hogan Lovells.

Jennifer has over 20 years of experience representing clients regarding U.S. federal income and international tax considerations in transaction planning, structuring, and execution, and on complex mergers and acquisitions. She has represented large infrastructure funds, foreign government pension plans, private equity, and multinational businesses in domestic and cross-border acquisitions, dispositions, financings, and restructurings.

Jennifer also has significant energy-related experience, including traditional M&A and tax equity financings involving wind and solar farms, district energy, geothermal and hydroelectric power facilities, gas storage facilities, and transmission lines, as well as the formation of significant joint ventures in the electric vehicle charging infrastructure space.

“I could not be happier to rejoin my colleagues at Winston,” said Jennifer. “The Inflation Reduction Act has had a significant impact on tax compliance in the energy sector as complex incentives are now in place that will drive complex transactions in both renewables and traditional energy production. Winston has the broad, cross-practice bench strength and collaborative environment needed to provide the necessary clarity and guidance to my existing clients and the firm’s expanding client base.”

“We’re delighted to welcome Jennifer back to the Los Angeles team as we continue to address an increasingly challenging marketplace for transactions across the middle market,” said Angela Machala, Los Angeles office managing partner. “Given her extensive experience in energy tax credits, government incentive programs, project developments and financings, and mergers and acquisitions, Jennifer’s contributions will be essential as we continue to address clients’ rapidly evolving needs.”

“Jennifer brings an outstanding record of professionalism and knowledge related to multiple sectors and industries,” said Winston Chairman Tom Fitzgerald and Chair-Elect Steve D’Amore. “Her return also reflects Winston’s continued commitment to strategically expanding our West Coast offices and to assembling best-in-class teams to drive client value.”
