Clayton Utz is the legal adviser to Origin Energy in its $2.3 billion pro rata renounceable entitlement offer announced to the market yesterday.

Clayton Utz’s national head of Equity Capital Markets, Stuart Byrne, led the Clayton Utz Equity Capital Markets team that advised Origin Energy on the transaction, with support from senior associate Richard Knott.

Simpson Thacher represented J.P.Morgan Securities LLC, as global coordinator and joint bookrunner, and BTG Pactual US Capital Corp., Citigroup Global Markets Inc., Merrill Lynch, Pierce, Fenner & Smith Incorporated and Morgan Stanley & Co. Incorporated, as joint bookrunners, in connection with the public secondary offering of 21,628,728 American depositary shares representing ordinary shares of Ternium S.A. owned by Usinas Siderúrgicas de Minas Gerais S.A. – Usiminas.  Concurrently with the offering, Usiminas Europa A/S sold the remainder of its shares in Ternium S.A. to Ternium International Inc., a subsidiary of Ternium S.A., and Techint Holdings S.àr.l., the controlling shareholder of Ternium S.A., in a private transaction.  The transaction closed on February 15, 2011, and the over-allotment option closed on February 18, 2011.

Davis Polk is advising Digicel Group Limited on its agreement with América Móvil, S.A.B. de C.V. to acquire its Claro business in Jamaica and sell to América Móvil its businesses in El Salvador and Honduras. The completion of the transaction is subject to governmental and regulatory approvals in Honduras, El Salvador and Jamaica, among other conditions, and is expected to occur during the second quarter of 2011.

International law firm Freshfields Bruckhaus Deringer has advised Bridgepoint on the acquisition of CABB, a German global provider of fine and specialty chemicals and custom manufacturing solutions, from AXA Private Equity for an undisclosed sum.

Munger, Tolles & Olson LLP represented Berkshire Hathaway Inc. in its definitive agreement to acquire The Lubrizol Corporation in an all-cash transaction. The deal was announced on March 14, 2011 and is valued at approximately $9.7 billion, including approximately $0.7 billion in net debt, making it one of the largest acquisitions in Berkshire Hathaway history.

The new company is formed by Tiger Group Investments and The Carlyle Group in partnership with Seaspan Corporation, the Washington Family, Gerry Wang and Graham Porter.
