Davis Polk – Catalyst Health Solutions, Inc. $200 Million Upsizing of Existing Revolver Facility

Davis Polk advised Goldman Sachs Lending Partners LLC, Citigroup Global Markets Inc., SunTrust Robinson Humphrey, Inc. and Wells Fargo Securities, LLC as joint lead arrangers in connection with an amendment of Catalyst Health Solutions, Inc.’s existing revolving credit and term loan facility provided by a consortium of financial institutions and with SunTrust Bank as administrative agent. The amended credit facilities provide for an upsize of up to $200 million of the senior secured revolving facility.

Davis Polk – PPL Corporation $3.31 Billion Common Stock and Equity Units Offerings

Davis Polk advised Credit Suisse Securities (USA) LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated as the joint lead book-running managers in connection with concurrent SEC-registered offerings of 92,000,000 shares of common stock of PPL Corporation, including 12,000,000 shares from the full exercise of the underwriters’ over-allotment option, and 19,550,000 equity units of PPL Corporation, including 2,550,000 equity units from the full exercise of the underwriters’ over-allotment option. The gross proceeds from the common stock offering were approximately $2.33 billion and the gross proceeds from the equity units offering were approximately $978 million, resulting in total gross proceeds of approximately $3.31 billion.

Shearman & Sterling Advises on High Yield Bond Offering for Acquisition of Craegmoor Group Limited by The Priory Group

Shearman & Sterling is advising private equity firm Advent International and its portfolio company The Priory Group on the financing for the latter’s acquisition of Craegmoor Group Limited. The financing comprised a high yield bond offering of £206 million of 7% senior secured notes due 2018 (the “additional senior secured notes”). The high yield bond offering was issued under an indenture dated 3 February 2011 pursuant to which Priory initially issued £425 million of the same notes. The net proceeds from the issuance and sale of the additional senior secured notes are being used to re-finance existing debt of Craegmoor as part of Priory’s acquisition of Craegmoor.

Eversheds Advises on the Acquisition of Shanghai Four Seasons Hotel

Mannheimer Swartling – Stena Bulk Enters into Joint Venture with Dannebrog Rederi

Stena Bulk has entered into a joint venture with the Danish shipping company Dannebrog Rederi and acquired 50 percent of the shares in Stena Weco. Stena Weco will operate the Weco Shipping product tanker business previously held by Dannebrog Rederi and will initially have a fleet of approximately 30 product tankers. Stena Bulk will contribute its extensive experience of tanker operations and resources to Stena Weco.
