Davis Polk advised TIM Participações S.A. in connection with an SEC-registered offering of 190,796,858 common shares, including common shares in the form of American Depositary Shares. The total proceeds of the offering were approximately US$891 million. The common shares are traded on the São Paulo Stock Exchange and the American Depositary Shares are traded on the New York Stock Exchange.

Alston & Bird Assists Getinge in $680 Million Atrium Acquisition

Alston & Bird assisted Getinge AB in its pending $680 million acquisition of Atrium Medical Corporation.  The transaction is expected to further expand the cardiovascular medical device presence of Getinge, a global healthcare and life sciences company based in Sweden.  The transaction is subject to regulatory approvals and other customary conditions, but is expected to close in the fourth quarter of 2011.
