Morgan Lewis Serves as Co-Counsel to BHP Billiton on $12.1 Billion Acquisition of Petrohawk

BHP Billiton and Petrohawk Energy Corporation (“Petrohawk”) announced late yesterday that the companies have entered into a definitive agreement for BHP Billiton to acquire Petrohawk for $38.75 per share by means of an all-cash tender offer for all of the issued and outstanding shares of Petrohawk, representing a total equity value of approximately $12.1 billion and a total enterprise value of approximately $15.1 billion, including the assumption of net debt.  Morgan Lewis served as co-counsel to BHP Billiton, along with Sullivan & Cromwell.

Shearman & Sterling Obtains Bankruptcy Court Approval for $7 Billion GSC Group Asset Sale

Shearman & Sterling recently obtained Bankruptcy Court approval for a sale of $7 billion in investment assets of money manager GSC Group, Inc. and its affiliates. GSC manages assets in the United States and Europe but filed for chapter 11 protection in early 2010 when it was unable to refinance its debt following the global financial crisis. Shearman & Sterling partner James L. Garrity, Jr. was appointed as Chapter 11 Trustee in January of 2011 in the wake of an aborted sale process that broke down amidst accusations concerning breaches of fiduciary duties and conflicts of interest among GSC’s senior management.

The firm is representing Apax Partners, Canada Pension Plan Investment Board and the Public Sector Pension Investment Board in their acquisition of Kinetic Concepts, Inc. (NYSE:KCI) for $68.50 per share in cash.  The transaction is valued at approximately $6.3 billion, including KCI’s outstanding debt.  The transaction, which is subject to customary closing conditions, including the approval of KCI’s shareholders and regulatory approvals, is expected to close in the second half of 2011.

Freddie Mac General Counsel Robert Bostrom to Join SNR Denton as Co-Head of Financial Institutions and Funds Sector

In the latest growth move for its global capital markets, government investigations and regulatory platform, SNR Denton today announced that Robert Bostrom, executive vice president, general counsel and corporate secretary of Freddie Mac, is joining the firm as partner and co-head of its global Financial Institutions and Funds sector. Bostrom joined Freddie Mac in 2006 and directed its legal strategy through the financial crisis and recovery. He is scheduled to join the firm in mid-August.
