Davis Polk Advises Technip on Its Acquisition of Global Industries

Davis Polk is advising Technip S.A. in connection with its acquisition of Global Industries, Ltd, announced September 12, 2011. The transaction, which has been approved by the boards of directors of both companies and is structured as an all-cash merger at $8.00 per share, values Global Industries at $1.073 billion. The transaction is expected to close in early 2012, subject to regulatory approvals, approval by Global Industries’ shareholders and other customary closing conditions.

Salans Advises Consortium of Banks on the Sale of Insolvent Automotive Supplier AKT

Salans advised the bank creditors of insolvent automotive supplier AKT altmärker Kunststoff-Technik GmbH on the sale to its new owners. Boryszew Kunststofftechnik Deutschland GmbH, which belongs to the Polish Boryszew-Group, takes over AKT GmbH’s main plant in Gardelegen, Saxony-Anhalt, as well as its affiliate in the Czech Republic. AKT’s Spanish affiliate was transferred to Grupo ISN. The sales contract was approved by the principal creditors, six leading German financial institutions, integrated in a pool of banks.

Dechert Advises Hyatt International on Agreements for Two Hotels in Russia

International law firm Dechert LLP advised Hyatt International (Europe Africa Middle East) LLC, an affiliate of Hyatt Hotels Corporation, on management agreements entered into with OJSC Nash Dom-Primorye for two new Hyatt hotels in Russia: Hyatt Regency Vladivostok, Golden Horn and Hyatt Vladivostok, Burny, which will be the third and fourth Hyatt-branded hotels in Russia.  The hotels are under construction and expected to open in advance of the Asia-Pacific Economic Cooperation (APEC) Summit in the fall 2012.

Shearman & Sterling Advises Charter International on its £1,528 Million Acquisition Offer by Colfax Corporation

Shearman & Sterling is advising long-time client Charter International plc on the US aspects of its proposed acquisition by Colfax Corporation. The acquisition values Charter’s fully diluted share capital at approximately £1,528 million. It is intended that the acquisition will be implemented by way of a court-sanctioned scheme of arrangement under Jersey law or a takeover offer to Charter shareholders at the election of Colfax. The acquisition will be funded from a combination of proceeds of an equity issue by Colfax, new debt facilities and Colfax’s existing cash resources.
