Simpson Thacher Represents Initial Purchasers in $600 Million Senior Notes Offering by The ServiceMaster Company

The Firm recently represented the initial purchasers, led by J.P. Morgan, in the offering of $500 million of 8% Senior Notes due 2020 (the “Notes”) and the add-on offering of $100 million of Notes by The ServiceMaster Company pursuant to Rule 144A and Regulation S.  The net proceeds of the offering are being used to redeem a portion of ServiceMaster’s 10.75% / 11.50% Senior Toggle Notes due 2015.

Simpson Thacher Represents HCA in $1.35 Billion High Yield Debt Offering

Simpson Thacher recently represented HCA Inc. in its high yield offering of $1.35 billion aggregate principal amount of 5.875% Senior Secured Notes due 2022.  HCA intends to use the net proceeds for general corporate purposes, which may include the repayment, redemption or repurchase of its existing indebtedness and/or the financing of a special cash dividend to shareholders.

Clifford Chance Hong Kong Advises Singapore’s Sovereign Wealth Fund on Increased Investment in Leading Sports Brand in China

Leading international law firm Clifford Chance has advised the Government of Singapore Investment Corporation (GIC) on the RMB189 million (approximately USD30 million) investment by its affiliate in convertible bonds in Hong Kong listed Li Ning Company Limited, a leading sports brand enterprise in China. GIC is an existing investor in Li Ning and this investment, which was made alongside a larger investment by TPG, takes GIC’s aggregate investment (together with its affiliates) to approximately 8% of the fully diluted share capital of Li Ning, assuming the bonds are fully converted.

Chadbourne Represents Initial Purchasers in $1.075 Billion Notes Offering and Banks in New $350 million Term Loan Agreement to Refinance the Ruby Pipeline

Chadbourne & Parke LLP represented the initial purchasers in the issuance and sale by Ruby Pipeline, L.L.C. of $1.075 billion aggregate principal amount of senior unsecured notes. Chadbourne also represented the syndicate of commercial banks in separately extending $350 million unsecured term loan facilities and $25 million unsecured revolving credit facilities to Ruby Pipeline, L.L.C.
