Perkins Coie announced today that Keith Miller has joined the firm as Partner in the Investigations & White Collar Defense practice in New York and will serve as Head of the Securities and Exchange Commission Enforcement practice. He joins the firm from Paul Hastings and is a former SEC enforcement attorney.

Morgan Lewis Advises Sprouts Farmers Market on Merger with Sunflower

Sprouts Farmers Market (“Sprouts”) and Sunflower Farmers Market (“Sunflower”), two independent natural food store chains, announced today the execution of a definitive agreement to merge.  The combined company will operate 139 stores under the Sprouts Farmers Market name and will have approximately 10,000 employees. The transaction is expected to close in the second quarter of 2012.

Davis Polk – Range Resources Corporation $600 Million Senior Subordinated Notes Offering

Davis Polk advised Merrill Lynch, Pierce, Fenner & Smith Incorporated, J.P. Morgan Securities LLC, Wells Fargo Securities, LLC, Barclays Capital Inc. and Deutsche Bank Securities Inc. as joint book-running managers on an SEC-registered offering by Range Resources Corporation of $600 million principal amount of its 5% senior subordinated notes due 2022. The notes were guaranteed on a senior subordinated basis by the subsidiaries of Range Resources.

Freshfields Advises on Ziggo IPO

International law firm Freshfields Bruckhaus Deringer has advised Ziggo N.V., the largest cable operator in the Netherlands, on its global offering and listing on NYSE Euronext in Amsterdam, acting as Ziggo’s lead Dutch, US and English counsel. The offering is a secondary sale by the company’s founding shareholders, which include affiliates of Cinven and Warburg Pincus.

Linklaters has advised the Korea National Oil Corporation (KNOC) on the negotiation with the Abu Dhabi National Oil Company (ADNOC) of significant oil and gas concession arrangements for the exploration and development of three concession areas in Abu Dhabi, United Arab Emirates. KNOC has entered into the arrangements as majority participant in a joint venture with GS Energy. The concession areas are estimated to contain 570 million barrels of oil in place with the possibility of significant additional exploration upside.

Willkie Advises Insight Venture Partners in $2 Billion Buyout of Quest Software

On March 9, it was announced that Quest Software, Inc. has entered into definitive agreements with affiliates of Willkie client Insight Venture Partners, under which the database applications provider will be taken private in a deal valued at approximately $2 billion. The transaction, which has been widely reported in the press, calls for stockholders not affiliated with the buyout group to receive $23.00 per share in cash.
