Clifford Chance advises selling shareholders Cinven and Warburg Pincus on Ziggo’s IPO

International law firm Clifford Chance advised selling shareholders Cinven and Warburg Pincus on the IPO of the Netherlands’ largest cable operator Ziggo N.V. on NYSE Euronext in Amsterdam. Ziggo’s ordinary shares offered in the IPO have been priced at €18.50 per ordinary share resulting in a market capitalization of €3.7 billion. The total offering size amounts to approximately €804 million.  This makes it the largest European IPO to be launched in almost a year and the largest in the Netherlands since 2009.

Simpson Thacher Represents First Data Corporation in Refinancing

The Firm recently represented First Data Corporation (“First Data”) in steps designed to increase its flexibility and options to refinance and extend the maturities of its current capital structure. To effect these changes, First Data entered into an amendment with lenders under its existing senior secured credit facilities.  First Data also sold $845 million aggregate principal amount of additional 7.375% Senior Secured Notes due 2019 in reliance on Rule 144A and Regulation S.

Davis Polk Advises NEC on Its Acquisition of Convergys’ Information Management Business

Davis Polk is advising NEC Corporation on its $449 million acquisition of Convergys Corporation’s Information Management (IM) business. Following the acquisition, the IM business will be integrated into NetCracker Technology Corporation, a subsidiary of NEC and the leading provider of telecom operations and management systems to communications service providers worldwide. The acquisition is expected to close by late second quarter of 2012.

Simpson Thacher represented the initial purchasers, led by J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC, Deutsche Bank Securities Inc., RBS Securities Inc. and UBS Securities LLC, in the sale of an aggregate principal amount of $1.0 billion 6.000% Senior Notes due 2017 and $1.0 billion 6.875% Senior Notes due 2022 of FMG Resources (August 2006) Pty Ltd, an Australian corporation (“FMG”), and a direct wholly-owned subsidiary of Fortescue Metals Group Ltd (“Fortescue”), pursuant to Rule 144A and Regulation S. The notes are guaranteed by certain of Fortescue’s direct and indirect subsidiaries. The deal closed on March 19, 2012. FMG intends to use the net proceeds from the offering to expand its existing operations and for general corporate purposes.
