Paul Hastings Advises Far East Horizon on US$371 Million Share Placement

Paul Hastings, a leading global law firm, announced today that it advised Far East Horizon Ltd., (“Far East Horizon”), a leading financial services company focusing on financial leasing and a subsidiary of Sinochem Group, one of the largest Chinese state-owned enterprises, on its US$371 million share placement. UBS was the sole placing agent and Far East Horizon plans to use the money raised from the placement to fund its ongoing growth.

Davis Polk – Wyndham Worldwide Corporation Tender Offer

Davis Polk advised Deutsche Bank Securities Inc. and J.P. Morgan Securities LLC as dealer managers in connection with a cash tender offer by Wyndham Worldwide Corporation to purchase up to $650 million aggregate principal amount of any and all of its outstanding 9.875% senior notes due 2014, and up to a maximum tender amount of its 6.00% senior notes due 2016 and 7.375% senior note due 2020.

Simpson Thacher Represents Nielsen in $1.0 Billion Secondary Offering of Common Stock

The Firm recently represented Nielsen Holdings N.V. (“Nielsen”), a portfolio company of AlpInvest Partners, The Blackstone Group, The Carlyle Group, Centerview Partners, Hellman & Friedman, Kohlberg Kravis Roberts & Co. and Thomas H. Lee Partners (together, the “Sponsors”) in connection with a secondary offering of 34,500,000 shares of Nielsen’s common stock.  The offering closed at a public offering price of $30.25 per share, resulting in gross proceeds to the Sponsors of approximately $1.0 billion.

WilmerHale Advises SS&C Technologies in $906.5 Million Bid Takeover

In a bidding war for London-based GlobeOp Financial Services, WilmerHale represented SS&C Technologies in its takeover cash offer of $906.5 million. The bid topped an $805 million offer from buyout house TPG Capital, announced earlier this year in February. SS&C has offered to pay $7.69 per share for GlobeOp – an 11 percent premium on TPG’s bid. The deal has been unanimously approved by the board of directors of SS&C and the independent directors of GlobeOp.
