Ginger Heyman Pigott Joins Greenberg Traurig’s National Pharmaceutical, Medical Device & Health Care Litigation Practice in Los Angeles

The international law firm Greenberg Traurig, LLP announced that Ginger Heyman Pigott has joined the Los Angeles office as a shareholder. Pigott will work closely with Lori G. Cohen, chair of Greenberg Traurig’s national Pharmaceutical, Medical Device & Health Care Litigation Practice Group and co-chair of the firm’s Atlanta Litigation Practice. Pigott was previously a partner at Reed Smith. She represents national and international pharmaceutical and medical device companies in products liability and commercial litigation matters.

Freshfields Advises Yum! on Takeover of Little Sheep

International law firm Freshfields Bruckhaus Deringer has advised Yum! Brands Inc., a U.S.-based fast food company and owner of KFC, Pizza Hut and Taco Bell chains, on its US$570 million acquisition of Little Sheep Group Ltd., a Hong Kong-listed, Mongolian hot-pot restaurant operator. The privatization scheme was approved by shareholders in January and the scheme became effective on 1 February having been sanctioned by the Grand Court in Cayman Islands.

Simpson Thacher Represents Initial Purchasers in $918 Million Senior Secured Notes Offering by Realogy

Simpson Thacher recently represented the initial purchasers, led by J.P. Morgan Securities LLC, Barclay’s Capital Inc., Credit Suisse Securities (USA) LLC and Goldman, Sachs & Co. in connection with a Rule 144A/Regulation S private offering of $593 million aggregate principal amount of 7.625% Senior Secured First Lien Notes due 2020 and $325 million aggregate principal amount of 9.000% Senior Secured Notes due 2020 by Realogy Corporation (“Realogy”). The Senior Secured First Lien Notes are secured on a pari passu basis with Realogy’s first lien borrowings under its credit facility and the Senior Secured Notes are secured on a first and a half lien basis pari passu with Realogy’s existing senior secured notes due 2019. The Notes are guaranteed on a senior secured basis by Domus Intermediate Holdings Corp., Realogy’s parent, and each domestic subsidiary of Realogy that is a guarantor under its senior secured credit facility and certain of its outstanding debt securities. The Notes are also guaranteed by Domus Holdings Corp., Realogy’s indirect parent, on an unsecured senior subordinated basis. Realogy used the proceeds from the offering to prepay certain of its term loan borrowings and repay certain of its outstanding revolver borrowings both under its senior secured credit facility.

LLC, RBC Capital Markets, LLC and Wells Fargo Securities, LLC as underwriters in connection with a public offering by International Business Machines Corporation of $1.5 billion principal amount of its 0.55% notes due 2015 and $1 billion principal amount of its 1.25% notes due 2017.
