Latham & Watkins Advises ETP on US$5.3 Billion Sunoco Acquisition

Energy Transfer Partners, L.P. (NYSE: ETP) and Sunoco, Inc. (NYSE: SUN) have announced that they have entered into a definitive merger agreement whereby ETP will acquire Sunoco in a unit and cash transaction valued at US$50.13 per share, or a total consideration of approximately US$5.3 billion, based on ETP’s closing price on April 27, 2012. As detailed in the company news release, this combination will create one of the largest and most diversified energy partnerships in the country by expanding ETP’s geographic footprint and strengthening its presence in the transportation, terminalling and logistics of crude oil, NGLs and refined products.

Kirkland & Ellis Advises Lafarge S.A. in $2.8 Billion Joint Venture with Anglo American plc

Kirkland & Ellis International LLP advised Lafarge S.A., a world leader in building materials, in obtaining UK Competition Commission approval for its proposed construction materials joint venture with Anglo American plc. Pinsent Masons and McGrigors Merge to Create Enhanced Restructuring Team

International law firm Pinsent Masons has today merged with UK firm McGrigors, strengthening the firm’s restructuring team in Scotland and Northern Ireland. The combined firm, which will operate worldwide under the name and brand of Pinsent Masons, will employ over 2500 people in total including over 1500 lawyers, 500 of whom will be based in Pinsent Masons’ international headquarters in the City of London.
