Davis Polk is advising Vector Capital on the $2.2 billion leveraged buyout of Quest Software, Inc. Joining with CEO Vincent Smith and Insight Venture Partners, on June 19, 2012, Vector Capital entered into definitive agreements to acquire Quest for $25.75 per share in cash. The transaction is also being financed with approximately $1.2 billion of debt financing commitments from J.P. Morgan Chase Bank N.A., RBC Capital Markets and Barclays Capital.

International law firm Fulbright & Jaworski hired Kevin McDonald for a Houston legal job–a full-circle moment in the attorney’s legal career–as reported in a press release.

International law firm McDermott Will & Emery LLP today announced the appointments of renowned international tax lawyers Cym H. Lowell and Mark R. Martin as part of a seven-person, full-service transfer pricing team in Texas. Herbert Smith has recently advised Export-Import Bank of China (China Eximbank) on its issuance of RMB2 billion (US$318 million) bonds. This transaction follows China Eximbank’s successful offering of two- and three-year bonds in March with a total size of RMB4 billion, on which Herbert Smith also acted.
