NautaDutilh Assists Intel Corporation in Its R&D Commitment and Equity Investment in ASML Holding N.V. Valued at EUR 3.3 Billion

Intel Corporation announced on 9 July 2012 that it has entered into a series of agreements with ASML Holding N.V. intended to accelerate the development of 450-millimeter (mm) wafer technology and Extreme Ultra Violet (EUV) lithography. The multi-party development program in which Intel participates includes a cash contribution by Intel to fund relevant ASML research and development (R&D) efforts as well as equity investments of Intel up to 15 percent of ASML’s issued shares in aggregate valued at EUR 3.3 billion.

Willkie Advises on €1.8 Billion PPP for French High Speed Railway Link Project

The firm’s Paris office recently advised the sponsors in the 25-year public-private partnership project (HSL – CNM) to design, build, finance, operate and maintain the Nîmes-Montpellier high speed railway bypass link. The PPP contract, which provides for a total investment of about €1.8 billion, was entered into by French public rail infrastructure manager Réseau Ferré de France and OC’VIA, a consortium led by the construction firm Bouygues. The OC’VIA consortium includes Bouygues Construction, Colas Rail, Spie Batignolles, Alstom Transport, Meridiam Infrastructure and FIDEPPP.

BKL Advises GS E&C on Its Overseas Acquisition of Inima a Global Spanish Water Treatment Company

Bae Kim & Lee LLC (“BKL”) advised GS Engineering and Construction Corporation (“GS E&C”) on its acquisition of an approximately 80% stake in OHL Medio Ambiente Inima S.A. (“Inima”) one of the top water treatment companies in the world. The National Pension Service of Korea through a special purpose vehicle acquired the remaining 20% minority stake. The overall purchase price was approximately EUR 231 million (KRW 340 billion) and the acquisition closed on May 31 2012.
