Davis Polk – Energizer $500 Million Notes Offering
Davis Polk advised Goldman, Sachs & Co., J.P. Morgan Securities LLC and Merrill Lynch, Pierce, Fenner & Smith Incorporated as joint book-running managers and representatives of the several underwriters in connection with an SEC-registered offering by Energizer Holdings, Inc. of $500 million aggregate principal amount of its 4.7% senior notes due 2022. The notes are unconditionally guaranteed by all existing and future subsidiaries of Energizer that are guarantors on the company’s credit agreements or other indebtedness for borrowed money.
