Morgan, in connection with the offering by Air Lease Corporation of $450 million aggregate principal amount of 4.500% Senior Notes due 2016. The offering was conducted pursuant to Rule 144A and Regulation S. The net proceeds of the offering will be used to fund the acquisition of commercial aircraft and for other general corporate purposes.

Simpson Thacher represented Celulosa Arauco y Constitución S.A., a Chilean corporation, in its purchase of all of the shares of Flakeboard Company Limited, a Canadian company which owns and operates seven production facilities in the United States and Canada and is the largest producer of composite wood panels in North America. The transaction value including assumed debt was approximately US$434.7 million. The transaction closed on September 24, 2012.
