Simpson Thacher Represents J.P. Morgan and Nomura in $466.2 Million Current Offerings of Zero Coupon Convertible Bonds and Global Depositary Shares by TPK Holding Co., Ltd.

Simpson Thacher recently represented J.P. Morgan and Nomura in connection with concurrent offerings by TPK Holding Co., Ltd. (“TPK”) of US$230 million Zero Coupon Convertible Bonds due 2017 (the “Bonds”) and US$236.2 million of global depositary shares (the “GDSs”). TPK is a leading touch solution provider with manufacturing facilities in China. TPK’s touch solutions are applied in a large number of market leading smartphones and tablets. The common shares of TPK are traded on the Taiwan Stock Exchange under the trading code “3673”. Both the Bonds and the GDSs are listed on the Luxembourg Stock Exchange.

Simpson Thacher recently represented Midstates Petroleum Company, Inc. (“Midstates”) and Midstates Petroleum Company LLC in connection with the financing of its acquisition (the “Acquisition”) of certain interests in producing oil and natural gas assets, unevaluated leasehold acreage and related hedging instruments from Eagle Energy Production LLC (“Eagle”) for $650 million in cash and stock. Eagle is an independent energy company focused on exploration and development of oil and natural gas properties, with a focus on the Mississippian Lime formation in northwestern Oklahoma and southern Kansas.

Simpson Thacher Represents Carlyle in Purchase of 55% Stake in Vermillion Asset Management

The Firm represented The Carlyle Group (NASDAQ: CG) in the purchase of a 55% stake in Vermillion Asset Management (“Vermillion”), effective October 1, 2012. Vermillion is a New York-based commodities investment manager with approximately $2.2 billion of assets under management as of September 30, 2012. Vermillion has become affiliated with Carlyle’s Global Market Strategies business and will become Carlyle’s commodities trading platform. The purchase price was not disclosed.

Assistant to the U.S. Solicitor General Joins Perkins Coie

Perkins Coie is pleased to announce that Eric D. Miller has joined the firm’s Seattle office as a partner in the firm’s Appellate Practice Group. He was previously an Assistant to the U.S. Solicitor General in Washington, D.C. In that position, he argued 14 cases in the United States Supreme Court, and he has filed more than 200 briefs in the Supreme Court.
