Simpson Thacher Represents syncreon Holdings Limited in $100 Million Senior Notes Add-on Offering

The Firm represented syncreon Global (Ireland) Limited and syncreon Global Finance (US) Inc. as co-issuers, in connection with their issuance and sale of $100 million aggregate principal amount of 9.50% senior unsecured notes due 2018. The notes constitute an issuance of additional notes under the issuers’ existing indenture relating to the issuers’ $300 million aggregate principal amount of 9.50% senior notes due 2018 which were issued in April 2010. J.P. Morgan Securities LLC was the initial purchaser. The notes were offered and sold to qualified institutional buyers in reliance on Rule 144A under the Securities Act and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act.

Simpson Thacher Represents Blackstone in Acquisition of Apple REIT Six

The Firm is representing an affiliate of Blackstone Real Estate Partners VII in connection with its acquisition of Apple REIT Six, Inc., a public real estate investment trust. The total transaction value, including transaction costs and the assumption or repayment of the Company’s debt, is approximately $1.2 billion. Pursuant to the terms of the merger agreement, each issued and outstanding Unit (Common Share and related Series A Preferred Share) of the Company will be converted into the right to receive consideration with a stated value of $11.10 per Unit consisting of (i) $9.20 in cash and (ii) one share of 7% Series A Cumulative Redeemable Preferred Stock having a liquidation preference of $1.90 per share. The agreement is subject to shareholder approval and customary closing conditions.

King & Spalding has recruited Kelly Malone, a specialist in cross-border development and financing of major energy projects, as a partner in its energy practice. Malone will be based in King & Spalding’s Singapore office. He joins from the Singapore office of leading Norwegian firm Wikborg Rein, where he was a partner and head of that firm’s global projects team. Malone is bringing with him a team of two senior lawyers and an associate.

Duane Morris & Selvam Toasts Client Heineken’s $4.6 Billion Takeover Bid for Asia Pacific Breweries Ltd.

On November 15, 2012, Heineken N.V. closed its S$5.6 billion ($4.6 billion) takeover bid for Asia Pacific Breweries Ltd. (APBL), acquiring an additional 40-percent stake in the joint venture from its partner Fraser & Neave Ltd, a Singapore-based conglomerate. Duane Morris & Selvam, a joint law venture with U.S.-based international law firm Duane Morris LLP, acted for Heineken in the complex and widely followed transaction, which consolidates a controlling interest in APBL for the Amsterdam-based brewer of approximately 95 percent. The transaction marks one of the largest of its kind in Singapore this year.
