Jackson Walker Represents Pernix Therapeutics in $25 Million Acquisition Deal

Jackson Walker is representing Pernix Therapeutics Holdings, Inc. in its deal to acquire Somaxon Pharmaceuticals, Inc. On Dec. 11, 2012, the two companies announced that they have reached a definitive merger agreement for Pernix to acquire Somaxon in a stock-for-stock transaction with a total equity value of $25 million. The acquisition, which is expected to close in the first quarter, is subject to shareholder approval and the satisfaction of other terms and conditions.

LG Advises JSC Naftogaz in US$3.656 bn Credit Agreement

Ukraine’s state controlled oil and gas company, JSC Naftogaz of Ukraine, has signed an English law governed US$ 3.656 billion credit agreement with state owned China Development Bank Corporation to finance various individual projects involving the substitution of natural gas with locally produced coal. The investment programme is intended to help Ukraine increase its energy capacity through the introduction of modern technology, construction of new plants and the upgrading of existing infrastructure.

The Firm acted as U.S. counsel for BMO Nesbitt Burns, Credit Suisse Securities (Canada), Barclays Capital Canada, RBC Dominion Securities, CIBC World Markets, HSBC Securities (Canada), and Morgan Stanley Canada as underwriters in connection with a public offering in Canada by MEG Energy Corp. (“MEG”) of 12,125,000 common shares. The common shares were offered in the United States to qualified institutional buyers under Rule 144A and outside the United States to non U.S. persons in accordance with Regulation S. MEG intends to use the net proceeds from the offering to partially fund its capital expenditure program and for other ongoing working capital and general corporate purposes.
