[NYSE:TDS], the parent company of TDS Telecommunications Corp., has announced an agreement to acquire substantially all of the assets of Baja Broadband for a purchase price of $267.5 million. Edwards Wildman advised Baja Broadband in the transaction. This acquisition will support TDS Telecom’s broadband and video growth strategy. Baja Broadband is a full-service telecommunications company that provides high-speed broadband and voice services to residential and commercial customers in Colorado, New Mexico, Texas and Utah. The deal team was led by Jeff Hardin, a partner in Edwards Wildman’s Business Law Department in Washington, DC, and Bob Baute and Devin Fargnoli, associates in the firm’s Providence office.

Paul, Weiss – Office Depot and OfficeMax Agree to $1.2 Billion Merger
Paul, Weiss clients PJ Solomon and Morgan Stanley acted as joint financial advisers to Office Depot in its agreement to merge with OfficeMax for $1.2 billion. Terms of the deal call for Boca Raton, Florida-based Office Depot to issue 2.69 shares for each share of OfficeMax, valuing the smaller company at $13.50 per share. Naperville, Illinois-based Officemax will have the ability to pay dividends of up to $131 million, or $1.50 per share, before closing.
