Cooley Augments Leading Mergers and Acquisitions Practice

Cooley LLP announced today that Jamie Leigh has joined the firm’s Business department as a partner and member of the Mergers & Acquisitions group. Leigh, who will be based in Cooley’s San Francisco office, joins the firm from Latham & Watkins where she was a partner in the firm’s Mergers and Acquisitions and Public Company Representation practices.

Davis Polk Advises PLDT on Its Sale of Business Process Outsourcing Businesses to CVC Capital Partners

Davis Polk is advising Philippine Long Distance Telephone Company (PLDT) in connection with the sale of the business process outsourcing businesses owned by its subsidiary SPi Global Holdings, Inc. (SPi) to an acquisition vehicle controlled by CVC Capital Partners. PLDT will reinvest a portion of the sale proceeds to acquire an approximate 20% interest in the divested businesses. The transaction is expected to close in the first quarter of 2013, subject to customary closing conditions.

Hogan Lovells Advises Kompania Węglowa S.A. on €317 Million Bond Issue

Hogan Lovells Warsaw banking and infrastructure team has advised the largest coal mining company in Europe, Kompania Węglowa S.A., on the private placement of secured bonds with a value of €317 million. These secured bonds will be used to finance current short-term bank debt, as well as financing the working capital of the company.
