The Notes are being offered pursuant to an effective shelf registration statement that the Company previously filed with the Securities and Exchange Commission. The net proceeds of the offering will be used to fund the acquisition of commercial aircraft and for other general corporate purposes.

Proceeds of the offering were used to refinance existing indebtedness, including €50.0 million of indebtedness under the revolving credit facility.
