Simpson Thacher Represents Office Depot in Announced Merger of Equals with OfficeMax

The Firm is representing Office Depot, Inc. (NYSE: ODP) in connection with its announced merger with OfficeMax Incorporated (NYSE: OMX). Under the terms of the merger agreement, the companies will be combined in an all-stock merger of equals transaction. The transaction is subject to stockholder approval from both companies, the receipt of regulatory approvals and other customary closing conditions, and is expected to close by the end of calendar year 2013.

Morgan Lewis Advises Vnesheconombank on EUR 1.5 Billion Eurobond Offering

Vnesheconombank (VEB), the Russian state development bank, today closed a EUR 1.5 billion offering of Eurobonds. The offering was structured as a EUR 1 billion tranche of 5-year bonds and a EUR 500 million tranche of 10-year bonds. Each tranche of bonds was issued by VEB Finance plc, an Irish special purpose vehicle, for the purpose of funding a loan to VEB. The proceeds of the offering will be used by VEB for general corporate purposes.

International Finance Corporation (IFC), a member of the World Bank Group, and the IFC African, Latin American and Caribbean Fund (IFC ALAC Fund), today announced a joint $100 million equity investment to help Cayman-based InterEnergy Holdings (IEH), owner and operator of power generation and distribution assets in Latin America and the Caribbean, to develop cleaner and more efficient energy sources in the Caribbean and expand operations in Latin America. IFC and the IFC ALAC Fund will each provide $50 million in equity to IEH.

Mayer Brown Represents Chesapeake Energy Corporation in 10-Year Methanol Supply Agreement with Methanex

Mayer Brown, a leading global law firm, announced that it represented Chesapeake Energy Corporation in the negotiation of a 10-year agreement with Methanex, the world’s largest supplier of methanol, to supply 350 billion cubic feet of natural gas required for Methanex’s methanol plant in Louisiana. The structure of the agreement links natural gas prices to the price of methanol, reducing the exposure to natural gas price fluctuations. Natural gas deliveries will coincide with the startup of the plant in 2014.

King & Spalding has recruited veteran intellectual property lawyer Kenneth Steinthal as a partner in its San Francisco office. Steinthal joins King & Spalding from Greenberg Traurig, where he served as head of its San Francisco office, and prior to that, as co-head of Weil, Gotshal & Manges’ IP/media practice. Also joining King & Spalding’s San Francisco IP practice, as counsel, is Joseph R. Wetzel, who practiced with Steinthal at Steinthal’s previous two firms.
