Davis Polk advised Morgan Stanley & Co. International plc and BNP Paribas Capital (Asia Pacific) Limited in their capacity as placing agents for the top-up placement of 200,000,000 shares in NagaCorp Ltd. for a total consideration of approximately US$154 million.

The shares of common stock sold in the offering include shares sold pursuant to the underwriters’ fully exercised option to purchase additional shares. The net proceeds of the offering were approximately $558 million. BankUnited’s common stock is traded on the New York Stock Exchange under the symbol “BKU.”

The Firm represented Blackstone in the sale of its warrants to purchase shares of common stock of General Growth Properties, Inc. General Growth acquired all the warrants held by affiliates of Blackstone and Fairholme Funds, Inc. for approximately $633 million. The warrants were exercisable into an aggregate of approximately 52 million shares and were issued in connection with the restructuring of General Growth and its emergence from bankruptcy in 2010. The Firm represented Blackstone in the restructuring.
