Corporate Partner Dr. Philipp Grzimek and Trademark Partner Dr. Jakob Guhn Join Jones Day in Germany

The global law firm Jones Day has announced that corporate partner Dr. Philipp Grzimek will join the Firm’s Frankfurt Office, and the Düsseldorf Office will welcome Intellectual Property Practicepartner Dr. Jakob Guhn. Both Dr. Grzimek (43), who comes to the Firm from Hogan Lovells, and Dr. Guhn (37), who comes to the Firm from Field Fisher Waterhouse, will arrive on May 1. These appointments for Jones Day in Germany follow the arrival of Mergers & Acquisitions partner Dr. Wolfgang Hölters from Orrick, Hölters & Elsing, and the arrivals of Banking & Finance partners Annica Lindegren and Ulf Kreppel from White & Case and Claudia Leyendecker from Luther, along with their teams. In the last 15 months, Jones Day has almost doubled the number of partners in its German offices by adding 18 lateral and up-through-the-ranks lawyers to the partnership.

Dorsey Adds Top Trial Lawyer To Minneapolis Office

International law firm Dorsey & Whitney LLP announced today that R.J. Zayed has joined the Intellectual Property Litigation group in the firm’s Minneapolis office as a partner. Zayed’s practice emphasizes patent and trade secret litigation involving a wide range of technologies, including medical devices, investment models and nutritional supplements, among many others. He also is active in defending white collar crime cases, and is currently the court-appointed receiver in the SEC v. Cook and SEC v. Beckman fraud cases pending in United States District Court. As a former Assistant United States Attorney, Zayed tried many high profile cases including white collar fraud and environmental crimes.

Simpson Thacher Represents the Initial Purchasers in a $1.4 Billion Offering by Sompo Japan Insurance Inc. of 5.325% Step-up Callable Subordinated Notes Due 2073

The Tokyo office of the Firm recently represented the initial purchasers, led by Nomura Securities International, Inc., J.P. Morgan Securities LLC, Mizuho Securities USA Inc. and Morgan Stanley & Co. LLC in an offering of $1,400,000,000 5.325% Step-up Callable Subordinated Notes due 2073 by Sompo Japan Insurance Inc. The notes were sold to international investors outside of Japan in reliance on Rule 144A and Regulation S. The notes are listed on the Singapore Stock Exchange.

Simpson Thacher Represents Arrangers in Connection with $1.35 Billion Acquisition Financing Facility for NBCUniversal Enterprise, Inc.

Simpson Thacher recently represented J.P. Morgan Securities LLC, Goldman Sachs Credit Partners L.P., Morgan Stanley Senior Funding, Inc. and the other Arrangers in connection with a $1.35 billion acquisition financing facility for NBCUniversal Enterprise, Inc. Proceeds of a drawing under the facility were used at closing to finance in part the $16.7 billion acquisition by Comcast Corporation of General Electric Company’s remaining 49% common equity interest in NBCUniversal, LLC. The transactions also resulted in the incorporation of NBCUniversal Media, LLC into Comcast’s existing cross-guarantee structure, pursuant to which Comcast Corporation and certain of its cable holding companies now guarantee the acquisition financing facility and NBCUniversal Media, LLC’s $11 billion of public debt securities and NBCUniversal Media, LLC guarantees Comcast Corporation’s $6.25 billion revolving credit facility and Comcast Corporation and such cable holding companies’ $30 billion of public debt securities.

The bonds were offered and sold pursuant to Rule 144A and Regulation S under the U.S. Securities Act of 1933.
