Davis Polk – Concur Technologies, Inc. Convertible Senior Notes Offering

Davis Polk advised Credit Suisse Securities (USA) LLC and J.P. Morgan Securities LLC as representatives of the initial purchasers in connection with a Rule 144A offering by Concur Technologies, Inc. of an aggregate principal amount of $488.75 million of its 0.5% convertible senior notes due 2018, which included $63.75 million aggregate principal amount of notes from the full exercise of the initial purchasers’ over-allotment option. In addition, Davis Polk advised Deutsche Bank AG, UBS AG, Credit Suisse International and JPMorgan Chase Bank, National Association as counterparties to convertible note hedge and warrant transactions in connection with the offering.

Davis Polk – Meritor, Inc. Concurrent Notes Offering and Cash Tender Offer

Davis Polk advised underwriters represented by Citigroup Global Markets, Inc., J.P. Morgan Securities LLC, Merrill Lynch, Pierce, Fenner & Smith Incorporated, RBS Securities Inc. and UBS Securities LLC in connection with an SEC-registered offering by Meritor, Inc. of $275 million of its 6.75% notes due 2021. Davis Polk also advised Citigroup Global Markets Inc. as the dealer manager in connection with a concurrent cash tender offer by Meritor for any and all of its outstanding 8.125% notes due 2015. A portion of the net proceeds of the above-mentioned notes offering was used to pay the tender offer consideration, and the remainder is to be used for general corporate purposes.

V&E Secures Major Trial Victory for ITOCHU International Inc. and MedSurg Specialty Devices, Inc.

Vinson & Elkins LLP played a substantial role in winning a jury trial for client ITOCHU International Inc. and its subsidiary MedSurg Specialty Devices, Inc. in a case involving a $70 million claim for breach of a distribution contract and MedSurg’s counterclaim for unpaid sales commissions. On May 31, 2013, after a nine-day trial in the U.S. District Court for the Eastern District of Pennsylvania, ITOCHU and MedSurg won a full defense verdict on plaintiff’s breach of contract claim, and MedSurg won a full award of unpaid commissions.

Hogan Lovells Expands Litigation and International Arbitration Capabilities with Three Partners

Hogan Lovells today announced the addition of three partners from Chadbourne & Parke to its Litigation and Arbitration practice. Oliver J. Armas, the co-head of Chadbourne & Parke’s International Arbitration Group, and Phoebe A. Wilkinson, the co-head of Chadbourne’s Product Liability Group, will join Hogan Lovells’ New York office. Luis Enrique Graham, a prominent litigation and arbitration practitioner, will be resident in Mexico City, with a significant presence in New York.
