Davis Polk – Naspers $1 Billion Notes Offering

Davis Polk advised Barclays Bank PLC, Citigroup Global Markets Limited and J.P. Morgan Securities plc, as joint bookrunners and representatives of several initial purchasers in connection with a Rule 144A/Regulation S offering of notes by Myriad International Holdings B.V., a wholly owned subsidiary of Naspers Limited. The offering consisted of $750 million principal amount of 6% notes due 2020 and a tap issuance of $250 million principal amount of 6% notes due 2020. The notes are guaranteed by Naspers Limited.

Osborne Clarke Expands International Footprint with 15th Office, in Paris

Osborne Clarke has continued its rapid international expansion with the opening of its 15th office, in Paris. France is the 7th jurisdiction in which the international law firm has an office. The office is being opened by Béatrice Delmas-Linel who joins from De Gaulle Fleurance & Associés, where she was Partner. Morgan Lewis Advises Food Distributor Nash Finch on $1.3B Merger with Spartan Stores

Leading regional grocery distributor and retailer Spartan Stores and one of the leading food distribution companies in the U.S., Nash Finch Company, today announced that they have entered into a definitive merger agreement under which Grand Rapids, Mich.-based Spartan Stores and Minneapolis-based Nash Finch will combine in an all-stock merger valued at approximately $1.3 billion, including existing net debt at each company.
