Simpson Thacher recently represented J.P. Morgan in connection with the offering by Fubon Financial Holding Co., Ltd. (“Fubon”) of US$850 million global depositary shares. Fubon is a leading financial holding company in Taiwan and its common shares are traded on the Taiwan Stock Exchange under the trading code “2881”. The global depositary shares are listed on the Luxembourg Stock Exchange. This transaction was the largest equity offering by a Taiwanese company since the financial crisis in 2008.

Simpson Thacher represented JPMorgan, Wells Fargo, TD Securities and The Bank of Tokyo-Mitsubishi as Joint Lead Arrangers and Joint Bookrunners in connection with the increase and extension of Amphenol Corporation’s existing Revolving Credit Agreement. In connection with the transaction, the amount of the total commitments was increased from $1.0 billion to $1.5 billion and the maturity date was extended by two years.

Locke Lord London Office Represents EBRD in PLN 800 Million Long-Term Loan Facility for Project Involving Poland’s Electricity Grid

The London office of international law firm Locke Lord represented the European Bank for Reconstruction and Development (EBRD) and advised on a PLN 800 million (EUR 195 million equivalent) long-term corporate loan facility to Energa SA and Energa Operator SA as part of the modernisation of Poland’s electricity distribution network (to include the introduction of an advanced metering system to strengthen the grid capacity). EBRD will hold up to 50 percent of the loan and has syndicated the remainder to two Polish commercial banks, PKO Bank Polski and ING Bank Slaski. The total cost of Energa Operator’s 2012-2015 investment programme is approximately PLN 5.2 billion (EUR 1.3 billion equivalent). Energa SA is one of the largest power utilities in Poland.
