Sedgwick has taken a significant, strategic step to expand its national natural resources practice. Nationally recognized natural resources attorneys Steven P. Quarles and David P. Ross have joined Sedgwick LLP as partners in our Washington, D.C. office. Their additions are the most recent in a series of expansions that have seen Sedgwick’s Land Use and Natural Resources Practice Group more than double in size in the past three years.  Quarles is considered one of the deans of federal natural resources law and serves clients all over the country.  He also is a leader on related federal policy matters and is frequently in contact with executive and legislative branch leaders on those issues.

Goodwin Procter Advises Gibson Guitar in $225 Million High Yield Notes Offering and $75 Million ABL Facility

Goodwin recently advised Gibson Guitar in connection with a private placement of $225 million in aggregate principal amount of senior secured notes, the first capital markets offering for the iconic musical instrument company in its nearly 120-year history. A substantial portion of the net proceeds from the offering was used to repay various debt obligations and streamline Gibson’s capital structure. Goodwin also advised Gibson Guitar in connection with its entry into a $75 million ABL revolving credit facility, which occurred simultaneously with the closing of the notes offering.

Simpson Thacher Represents Dealer Managers in $3.3 Billion Common Stock Tender Offer by Halliburton Company

The Firm represented Credit Suisse Securities (USA) LLC and J.P. Morgan Securities LLC, the lead dealer managers, and Merrill Lynch, Pierce, Fenner & Smith Incorporated, the co-dealer manager, for the modified “Dutch” auction tender offer by Halliburton Company for $3.3 billion of its common stock.  The tender offer expired on August 22, 2013 and settlement for the tender offer occurred on August 29, 2013.  The shares acquired represented approximately 7.4% of the total number of shares of Halliburton common stock issued and outstanding as of August 20, 2013.
