Perkins Coie Represents Intermec in Successful Sale to Honeywell

Perkins Coie represented client Intermec Inc. (NYSE:IN) in its acquisition by Honeywell International Inc. (NYSE:HON) in an all-cash transaction valued at around $600 million.  The deal (announced in December 2012) closed on September 17, 2013. The completion of the acquisition follows its approval by Intermec shareholders on March 19, 2013, as well as the receipt of required regulatory approvals in the United States and European Union.

Simpson Thacher Represents Sumitomo Mitsui Trust Bank in its US$1 Billion Guaranteed Senior Notes Offering

The Firm recently represented Sumitomo Mitsui Trust Bank, Limited in connection with a Rule 144A and Regulation S offering of US$500 million aggregate principal amount of Senior Floating Rate Notes due 2016 and US$500 million aggregate principal amount of 2.95% Senior Notes due 2018, guaranteed by its parent company, Sumitomo Mitsui Trust Holdings, Inc. Goldman, Sachs & Co., J.P. Morgan, Citigroup and Daiwa Capital Markets Europe were the joint lead managers for the offering.

Sidley Austin LLP Adds Team of Litigation and Private Equity Lawyers

Sidley Austin LLP announced today that eight lawyers will be joining the firm as partners in the Dallas office later this month. Six will be joining the firm’s Complex Commercial Litigation practice, and two will become members of Sidley’s Private Equity practice. The practices of the lawyers in this group are national in scope and focus on providing sophisticated services for leading corporations and private equity sponsors. The group is moving to Sidley from Weil, Gotshal & Manges and includes Yvette Ostolaza and Angela Fontana, both of whom co-chaired national practice groups at their prior firm. Shearman & Sterling Advises John Deere Capital Corporation on $848 Million Asset-Backed Notes Offering

Shearman & Sterling represented John Deere Owner Trust 2013-B, as the issuing entity, John Deere Receivables, Inc., as the seller and depositor, and John Deere Capital Corporation, as the sponsor and servicer, in connection with the issuance and sale of approximately $848.6 million of asset-backed notes. The notes are backed by agricultural and construction equipment retail installment sale and loan contracts secured by new and used agricultural and construction equipment, the security interests in the equipment financed thereby and the proceeds thereof (the “receivables”). John Deere Capital Corporation purchased the receivables from Deere & Company and John Deere Construction & Forestry Company.

Mayer Brown Represents Packaging Corporation of America on $1.995 Billion Acquisition of Boise Inc.

Mayer Brown is representing Packaging Corporation of America, the fourth largest producer of containerboard and corrugated packaging products in the United States, on its definitive agreement to acquire all of the outstanding common shares of Boise Inc. for $12.55 per share in cash, for an aggregate transaction value of $1.995 billion, inclusive of $714 million of outstanding indebtedness of Boise. The transaction is expected to close in the fourth quarter of 2013, subject to regulatory and other approvals.

Latham & Watkins Advises RHÖN-KLINIKUM AG on Sale of 43 Hospitals for €3.07 Billion

M-Dax listed hospital operator RHÖN-KLINIKUM AG has announced the sale of 43 hospitals and affiliated companies to healthcare company Fresenius Helios as part of its corporate strategy to realign its portfolio. The purchase price (enterprise value) amounts to €3.07 billion. RHÖN-KLINIKUM AG wants to focus on facilities that offer advanced medical care in a comprehensive, research-driven university environment with a maximum care offering. The locations Bad Berka, Bad Neustadt a. d. Saale, Frankfurt (Oder) as well as the university hospitals Giessen and Marburg will form the foundation of the “new Rhön”. With revenues of approximately €1 billion and around 15,000 employees, the company will be the fourth largest hospital group in terms of revenues in Germany. An additional €40 million will be invested by Helios (€30 million) and RHÖN-KLINIKUM (€10 million) in the further development and creation of a mutual medical network of partner clinics over the next five years. Subject to the approval of the German Federal Cartel Office the partner clinics will cooperate closely in future on the basis of a network agreement and offer top-quality supplementary care services for patients.
