Clifford Chance Advises Cinven Portfolio Company, EnServe on the Sale of Inenco

International law firm Clifford Chance is advising Cinven and its portfolio company, Enserve on the sale of Inenco, the energy division of EnServe, to Vitruvian Partners, its management team and Intermediate Capital Group Plc.   EnServe, the energy and utility outsourcing business, was acquired by Cinven in a public to private transaction in 2010 when it was known as Spice PLC.

Orrick Expands White Collar Practice in New York

Orrick, Herrington & Sutcliffe LLP announced today that Guy D. Singer has joined the firm as a partner in its White Collar and Corporate Investigations Practice Group, resident in New York.  Mr. Singer joins Orrick from Fulbright & Jaworski LLP, where he was head of the Government Investigations and White Collar Group for the New York office.  Prior to that, Mr. Singer served as a prosecutor for more than 13 years, at the U.S. Department of Justice (“DOJ”) in the Fraud Section, as an Assistant State Attorney at the Miami-Dade County State Attorney’s Office, and as a Special Assistant United States Attorney.

Ropes & Gray – Mitsubishi Tanabe Pharma Corp. Buys Stake in Medicago in Transaction Valued at $357M

Ropes & Gray is providing U.S. legal counsel to Mitsubishi Tanabe Pharma Corporation (MTPC) in its definitive arrangement agreement to acquire of all of the issued and outstanding common shares of Medicago Inc., other than the shares currently held by Philip Morris Investments B.V. an affiliate of Philip Morris International Inc. and MTPC, in a transaction valued at approximately $357 million. The transaction was announced on July 12, 2013; and upon its completion, Medicago will be jointly owned by MTPC (60%) and PMI (40%).
