The new shares were issued as part of a subscription rights offer to existing shareholders of Erste Group Bank AG and in private placements to institutional investors in European countries, the United States of America and elsewhere.

Simpson Thacher Represents Underwriters in $1.2 Billion Secondary Offering by Selling Stockholders of Realogy Holdings Corp.

Simpson Thacher represented the underwriters, Goldman, Sachs & Co. and J.P. Morgan Securities LLC, in a secondary offering by certain funds affiliated with Apollo Global Management, LLC (“Apollo”) of an aggregate of 25,125,070 shares of Realogy Holdings Corp.’s (“Realogy”) common stock, representing Apollo’s remaining equity interests in Realogy. The offering raised aggregate net proceeds of approximately $1.2 billion.
