Davis Polk Advises Capital Z Partners on Its Investment in Anchor BanCorp

Davis Polk is advising Capital Z Partners as an investor in the $175 million recapitalization of Anchor BanCorp Wisconsin Inc. In order to facilitate the recapitalization, Anchor BanCorp has filed a voluntary petition under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Western District of Wisconsin to implement a “pre-packaged” plan of reorganization to restructure Anchor BanCorp and recapitalize its wholly owned subsidiary, AnchorBank, fsb. The reorganization process is expected to be completed within 45-90 days.

Simpson Thacher Represents Sirius XM Radio Inc. in Acquisition of Agero’s Connected Vehicle Services Unit

The Firm is representing Sirius XM Radio Inc. (“SiriusXM”) in connection with its $530 million acquisition of the connected vehicle services unit of Agero, Inc. (“Agero”). The connected vehicle unit of Agero is the leading provider of innovative telematics services, offering safety, security and convenience services for drivers and end-to-end, turnkey solutions for automakers.  The transaction, which is subject to customary closing conditions, including regulatory approvals, is expected to close in the fourth quarter of 2013.

Cahill Represents Purchasers in $300 Million Notes Offering by Playa Resorts

Cahill represented BofA Merrill Lynch and Deutsche Bank Securities as joint book-running managers and the co-managers in connection with Rule 144A offering of $300,000,000 aggregate principal amount of 8% Senior Notes due 2020 by Playa Resorts Holding B.V. Proceeds from the offering, together with proceeds from an investment from Hyatt Hotels Corporation, were used to fund the acquisition of various all-inclusive resorts in Mexico, Dominican Republic and Jamaica as well for general corporate purposes and to refinance existing indebtedness.

BofA Merrill Lynch Leads $175 Million IPO of World Point Terminals, LP

On Wednesday, August 14th, World Point Terminals, LP completed its initial public offering of 8,750,000 common units representing limited partner interests at the public offering price of $20.00 per common unit. World Point sold 3,871,750 common units and a subsidiary of the sponsor sold 4,878,250 common units in the offering. World Point also granted the underwriters a 30-day option to purchase up to 1,312,500 additional common units. After a six-day road show, the offering priced on August 8th, and the common units began trading on the New York Stock Exchange under the symbol “WPT” on Friday, August 9th.
