Simpson Thacher Represents Global Tower in its $3.3 Billion Sale to American Tower

The Firm is representing MIP Tower Holdings LLC (“MIP”), the parent company of Global Tower Partners (“GTP”) and related companies, in the $3.3 billion announced sale to American Tower Corporation (NYSE: AMT).  The purchase price will also include the assumption of $1.5 billion in existing debt, for a total purchase price of $4.8 billion. The transaction is subject to customary closing conditions and is expected to close in the fourth quarter of 2013.

Former Health Care Fraud Chief Starts Lowenstein Sandler’s Health Care Litigation, Investigations & Compliance Practice

Lowenstein Sandler announced that Maureen A. Ruane has rejoined the firm to lead its new Health Care Litigation, Investigations & Compliance Practice. The practice will help the firm’s health care and life science clients strengthen their regulatory and compliance programs, as well as defend corporate and individual clients who become the subjects or targets of government investigations or enforcement actions. Ms. Ruane most recently served for more than three years as the Chief of the Health Care & Government Fraud Unit at the U.S. Attorney’s Office for the District of New Jersey. She was previously with Lowenstein Sandler as Partner and Co-Chair of the firm’s appellate litigation practice from 2006 to 2010.

King & Spalding Advises Freeport LNG in Agreements with Toshiba and SK

King & Spalding advised  Freeport LNG Expansion, L.P., in the company’s agreements to enter into binding 20-year liquefaction tolling agreements (LTAs) with SK E&S LNG, LLC and Toshiba Corporation, each for a base quantity of 2.2 million tons per annum (mtpa), commencing upon completion of construction of the third train of Freeport LNG’s proposed natural gas liquefaction and LNG loading facility on Quintana Island near Freeport, Texas.
