Thompson Hine LLP is pleased to announce that Tammy Bieber, a securities litigator, has joined its New York office as a partner in the Business Litigation practice, which the firm has identified as a growth area for the office. She previously was a partner at Shearman & Sterling LLP and spent time at the U.S. Securities and Exchange Commission, where she served as a senior legal adviser to the Chief Accountant. Bieber is the third partner to join the Business Litigation practice in New York in recent months; the firm recently hired Michael W. Jahnke, who focuses on antitrust litigation, and Maranda Fritz, who focuses on white-collar criminal matters.

The Firm recently represented Capsugel S.A., a newly formed société anonyme incorporated in Luxembourg, in its sale of $465 million of 7.00%/7.75% Senior PIK Toggle Notes due 2019, pursuant to Rule 144A and Regulation S.  The net proceeds of the offering were used to fund a distribution to holders of Capsugel S.A.’s capital stock and to pay transaction-related fees and expenses. Goldman, Sachs & Co. led the group of initial purchasers for the offering.

Simpson Thacher is representing Bank of America, N.A., as administrative agent and lender, and Banco Bilbao Vizcaya Argentaria, Chile, Banco Santander – Chile, Bancolombia (Panama), S.A., and Bancolombia S.A., as lenders, in connection with $600 million in bridge financing for CFR Pharmaceuticals S.A.’s proposed 12.6 billion South African rand (US$1.2 billion) acquisition in cash and equity of Adcock Ingram Holdings Limited.

In its second large financing in Mexico this month, Milbank, Tweed, Hadley & McCloy advised four principal lenders in an $800 million syndicated financing for Ternium México S.A. de C.V., a leading steel, plastics, and aluminum processor that is the Mexican arm of Luxembourg-based steel concern Ternium SA (NYSE:TX).
