Davis Polk is advising J.P. Morgan Securities LLC and Bank of America Merrill Lynch as dealer managers in connection with a cash tender offer by The Men’s Wearhouse, Inc. to acquire all outstanding shares of Jos. A. Bank Clothiers, Inc. for $57.50 per share. The offer is subject to conditions, including there being validly tendered and not withdrawn at least a majority of the total number of Jos. A. Bank shares outstanding on a fully diluted basis, Men’s Wearhouse and Jos. A. Bank entering into a definitive merger agreement with respect to the acquisition of Jos. A. Bank by Men’s Wearhouse, receipt of regulatory approvals and other customary closing conditions.

Paul Hastings Represents Sigma Alimentos S.A. de C.V. with $1 Billion Acquisition Financing

Paul Hastings LLP, a leading global law firm, announced today that it represented Sigma Alimentos, S.A. de C.V., the largest producer and distributor of refrigerated and frozen food in Mexico, in connection with a US$1 billion acquisition term loan with The Bank of Tokyo-Mitsubishi UFJ, Ltd. as lead arranger. A portion of the proceeds were used for the privately negotiated acquisition of common stock of Campofrio Food Group, S.A., a publically traded Spanish food group, and the remainder is intended to be used to finance the acquisition of the publicly traded stock of Campofrio by means of a tender offer in Spain. The loan was one of the largest in Latin America in 2013 to finance the acquisition of the stock of a publicly traded company by means of a tender offer. More >>
