S high-yield senior debt and senior payment-in-kind (PIK) “toggle” debt offering of Mariposa Borrower, Inc. and Mariposa Merger Sub LLC, issuers controlled by Ares Management and the Canadian Pension Plan Investment Board. Cravath also represented the lead arrangers, led by Credit Suisse, RBC Capital Markets, Deutsche Bank Securities, Goldman, Sachs & Co. and Morgan Stanley, of a $2.9 billion term loan to Mariposa Merger Sub LLC. The financing was in connection with the acquisition of Neiman Marcus Group LTD Inc., one of the largest luxury, multi-branded, fashion retailers in the world. Cravath previously represented Credit Suisse as joint lead arranger of committed financing in connection with the acquisition. The transaction was completed on October 25, 2013.
