Herbert Smith Freehills has advised the joint lead managers of Australia and New Zealand Banking Group Limited’s (ANZ) offer of new Tier 1 hybrid securities known as ANZ Capital Notes 2 (Notes) and concurrent reinvestment offer and buyback of ANZ’s CPS1 securities (Offer). The Offer will seek to raise A$1 billion, with the ability to raise more or less.

Simpson Thacher Represents JPMorgan, Financial Advisor to Forest Laboratories, in Actavis’ Acquisition of Forest Laboratories for $25 Billion

The Firm is representing J.P. Morgan Securities LLC in its role as financial advisor to Forest Laboratories, Inc. (NYSE: FRX) in connection with Actavis plc’s (NYSE: ACT) definitive agreement to acquire Forest for a combination of cash and equity valued at, based on Actavis’ pre-announcement closing price, approximately $25 billion or $89.48 per Forest share. In the proposed transaction, shareholders of Forest will receive 0.3306 shares of Actavis common stock and $26.04 in cash for each share of Forest. The transaction will include an election mechanism for Forest shareholders to elect all-stock or all-cash consideration, subject to proration in accordance with the terms of the merger agreement. The transaction is subject to the approval of the shareholders of both companies, as well as customary regulatory approvals, including a Hart-Scott-Rodino review in the United States.

King & Wood Mallesons Advises NewSat on US$390m Financing of its Jabiru-1 Satellite

King & Wood Mallesons has advised NewSat Limited on the US$390M financing of its Jabiru-1 satellite project, which achieved financial close on 13 February 2014.  The export credit financing included US$300.5M from US-EXIM Bank and US$89.6M from COFACE (the French export credit agency).

The transaction is a milestone for Australia’s satellite industry, and highlights the continuing importance of Australia as a market for export credit finance.

Norton Rose Fulbright advises Baytex in its C$2.6 billion scheme acquisition of Aurora Oil & Gas Ltd

A cross border team from Norton Rose Fulbright advised Baytex Energy Corp. (TSX, NYSE: BTE) on its proposed acquisition of Aurora Oil & Gas Limited (TSX: AEF, ASX: AUT).

Baytex has this morning entered into a scheme implementation deed to acquire 100% of the shares of Aurora for A$4.10 cash per share via scheme of arrangement. Baytex announced at the same time a $1.3 billion bought deal equity capital raising and an increase in its credit facilities.
