Morgan Securities LLC in its role as financial advisor to Comcast Corporation (Nasdaq: CMCSA, CMCSK) in connection with Time Warner Cable Inc.’s (NYSE: TWC) definitive agreement to merge with Comcast for a total enterprise value, based on yesterday’s stock closing price, of approximately $67 billion, including the assumption of Time Warner Cable’s net debt. The agreement is a stock-for-stock transaction in which Comcast will acquire all of Time Warner Cable’s shares for shares of CMCSA. The companies announced that the merger agreement is subject to shareholder approval at both companies and regulatory review and other customary conditions and is expected to close by the end of 2014.
