Simpson Thacher Represents Underwriters as U.S. Counsel in Acucela Inc.’s Initial Public Offering

Simpson Thacher recently represented the underwriters, led by Mitsubishi UFJ Morgan Stanley Securities Co., Ltd., as United States counsel in the initial public offering by Acucela Inc. of 9,200,000 shares of common stock. Acucela’s common stock is registered in the United States and Japan but listed solely on the Mothers market of the Tokyo Stock Exchange. The listing by Acucela on February 13, 2014 marked the first listing by a foreign issuer in Japan since 2007.

Milbank Represents KKR Asset Management LLC Affiliates in $384M CLO Transaction

Milbank, Tweed, Hadley & McCloy LLP recently represented the issuer and affiliates of KKR Asset Management LLC (KAM) in the structuring and issuance of $384 million of collateralized loan obligation (CLO) notes in a transaction in which GreensLedge Capital Markets LLC acted as arranger and placement agent and KKR Capital Markets LLC acted as placement agent. The CLO notes are collateralized primarily by a diversified portfolio of senior secured corporate loan obligations selected by and to be managed for the CLO issuer by KKR Financial Advisors II, LLC, a wholly owned subsidiary of KAM. KAM was formed in June 2004 as a subsidiary of Kohlberg Kravis Roberts & Co. L.P., a leading global investment firm with a 37-year history of leadership, innovation and investment excellence.

The merger has an announced transaction value of $2.1 billion and equity value of $1.2 billion. Alston & Bird also represented the Inland Special Committee in connection with Inland’s $503 million sale of certain real estate assets to Realty Income Corporation, which was announced in December 2013.
