Timothy J. Toohey Joins Morris Polich & Purdy LLP to Head the Firm’s Cyber, Privacy & Data Security Team

Morris Polich & Purdy LLP is pleased to announce that Timothy J. Toohey joined the firm as a partner on November 1, 2013. A US and EU Certified Information Privacy Professional (CIPP/US and CIPP/EU), Tim is a graduate of Stanford University, Harvard University and UC Berkeley School of Law. Additionally, Tim attended Oxford University as a Rhodes Scholar. His practice is concentrated on data protection and privacy matters, complex litigation and intellectual property. An authority in the field, Tim has authored the timely book in the cyber arena Understanding Privacy & Data Protection – What You Need to Know with Thomson Reuters/Aspatore (2014). The book provides a succinct and fundamental study, offering key guidance regarding the many existing domestic and international laws while addressing technological developments that impact privacy and data security. Bringing a wealth of experience to the firm, Tim has assumed the leadership of the firm’s established cyber, privacy & data security team.

Simpson Thacher Represents Seagate Technology in $800 Million Senior Notes Offering

The Firm represented Seagate Technology plc (“Seagate”) in connection with its Rule 144A and Regulation S offering of $800 million aggregate principal amount of 3.75% Senior Notes due 2018. The notes were issued by Seagate HDD Cayman, a wholly owned subsidiary of Seagate, and guaranteed by Seagate. Morgan Stanley acted as sole lead and bookrunning manager of the offering.

Simpson Thacher Represents JLL Partners, Inc. in Financing for the Formation of Joint Venture with Royal DSM

The Firm is representing JLL Partners in connection with the financing of its take-private purchase of its 55.7%-owned portfolio company, Patheon, Inc., and Patheon’s related combination with Royal DSM’s Pharmaceutical Products business. The transaction will be financed through a combination of equity investments and debt, including $1.65 billion in debt financing committed by J.P. Morgan, UBS, Jefferies, KeyBank and Morgan Stanley. The combined company will provide contract development and manufacturing services in the pharmaceutical industry and will be 51% owned by JLL and 49% owned by DSM.

Davis Polk – Genesee & Wyoming Inc. Secondary Offering

Davis Polk advised Citigroup Global Markets Inc. and Deutsche Bank Securities Inc. as underwriters in connection with the SEC-registered secondary offering of 5,984,232 shares of Class A common stock of Genesee & Wyoming Inc. by investment funds associated with The Carlyle Group. The net proceeds from the offering were approximately $580.7 million.
