A portion of the proceeds were used for the privately negotiated acquisition of common stock of Campofrio Food Group, S.A., a publically traded Spanish food group, and the remainder is intended to be used to finance the acquisition of the publicly traded stock of Campofrio by means of a tender offer in Spain.
