Goodwin Procter recently advised SiTV Media, Inc., parent company of NUVOtv, in its announced acquisition of Fuse network from The Madison Square Garden Company (MSG). According to the terms of the transaction, MSG will receive $226 million in cash, as well as a 15% equity stake in the combined company, subject to performance goals. The transaction, expected to close in MSG’s fiscal first quarter in 2015, is subject to regulatory approval. Additional terms of the transaction were not disclosed.

Global law firm Proskauer advised American Realty Capital Properties, Inc. (NASDAQ: ARCP) in its follow-on offering of 120 million shares of its common stock at $12 per share, with the underwriters exercising their option for another 18 million shares at the same price. The net proceeds totaled approximately $1.59 billion. ARCP intends to use the net proceeds of the offering to repay outstanding indebtedness under its existing credit facility and for other general corporate purposes. Upon information, this was the third largest equity offering ever completed by a REIT.

Paul Hastings, a leading global law firm, announced today that the firm acted as counsel to the underwriters Barclays, Credit Suisse, Deutsche Bank, Morgan Stanley and Bank of America Merrill Lynch in the offering of $700 million of 8.875% 10 year bonds by Empresas ICA, one of the largest infrastructure companies in Latin America. ICA, which was heard to have originally targeted to raise $500 million in the offering, increased the size of the offering due to strong demand.
