Davis Polk – Korea Finance Corporation Notes Offering

Davis Polk advised Citigroup Global Markets Inc., Credit Suisse Securities (USA) LLC, UBS AG, Hong Kong Branch as underwriters in connection with a Schedule B debt offering by Korea Finance Corporation of $300 million in aggregate principal amount of its 2.25% notes due 2017. The notes are consolidated and form a single class of notes with the $500 million aggregate principal amount of 2.25% notes due 2017 issued on August 7, 2012.

White & Case Advises Banks on US$1 Billion Financing in Support of Alibaba Acquisition of Yahoo Stake

Global law firm White & Case LLP has advised the eight banks underwriting a US$1 billion bank facility to Alibaba Group Holding, China’s biggest e-commerce company, as part of a US$5.7 billion financing package to fund the repurchase of half of Yahoo’s 40% stake in the company. The banks include Australia and New Zealand Banking Group Limited, Barclays Bank PLC, Citigroup Global Markets Asia Limited, Credit Suisse AG, Singapore Branch, DBS Bank Ltd., Deutsche Bank AG, Singapore Branch, Mizuho Corporate Bank, Ltd. and Morgan Stanley Asia Limited.

Goodwin Procter Advises DST Global on Second Alibaba Investment

Goodwin Procter advised client DST Global on its recent follow-on investment in the Alibaba Group to help finance Alibaba’s repurchase of shares from Yahoo! and restructure its relationship with the Silicon Valley company.  The $7.6 billion raised by Alibaba was the largest ever private financing for a private sector Chinese company and the largest non-LBO financing for a technology company globally.  The new equity financing for Alibaba was completed at a valuation of approximately $40 billion.
