NCR Announces $1.65 Billion Acquisition of Online/Mobile Banking Solutions Company

Womble Carlyle client NCR Corporation continues its pattern of dramatic growth. Officials with the consumer transaction technology leader announced earlier this week that NCR has entered into an agreement to acquire Digital Insight for $1.65 billion in cash.

A multidisciplinary Womble Carlyle team led by Sharon McBrayer Johnson and including Eric Glidewell, Lou Barbieri, Meredith Francis, Ted Claypoole, Behrooz Shariati and James Daniel counseled NCR on this transaction. In 2011, Johnson’s team also guided NCR in the $1.2 billion acquisition of Radiant Systems.

“This is a historic day for NCR,” NCR Chairman and CEO Bill Nuti said in a statement. “With the announcements of our agreement to purchase Digital Insight and our acquisition of Alaric Systems, NCR becomes a powerful, global FinTech solutions provider enabling retail banks to deliver on the promise of omni-channel capabilities – on top of an unparalleled, innovative software platform.”

NCR reports that the Digital Insight transaction is subject to certain closing conditions and is expected to be completed in the first quarter of 2014.

“I am honored to have been a part of this important transaction for NCR and extremely proud of the WCSR team,” Johnson said. “It was also a privilege to work with NCR’s in-house legal team, who flawlessly guided NCR through the process. We wish NCR, Digital Insight and Thoma Bravo our sincerest congratulations.”
