Snell & Wilmer Expands Its Corporate and Tax Practice with the Addition of Robert Anderson and Krisanne Cunningham

Snell & Wilmer is pleased to announce that Robert Anderson has joined the Las Vegas office of Snell & Wilmer as a partner, and Krisanne S. Cunningham has joined as counsel. Both Anderson and Cunningham will practice in the firm’s Business and Finance group.

Working with the firm’s Tax group, Bob and Krisanne will continue to assist local and international companies with their complex corporate, business and finance matters.”

Anderson’s practice, which spans three decades, includes advising private and public companies on a wide array of complex business and legal transactions including mergers and acquisitions, divestitures, roll-ups, ESOPs, IPOs and joint ventures. He also represents companies actively pursuing buy-side acquisitions and those sought by publicly traded companies and private equity funds. A Certified Public Accountant, Anderson also has experience structuring complex business transactions in a tax efficient manner.

Anderson has served as an adjunct professor at the Boyd School of Law and a guest speaker at the University of Nevada, Las Vegas and the University of Nevada, Reno. He was chairperson of the Tax Section of the State Bar of Nevada from 2010 to 2012 and president of the Southern Nevada Chapter of the Nevada Society of CPAs from 2010 to 2012. Anderson is listed in The Best Lawyers in America in corporate law and tax law (1989-2013) and was named Tax Lawyer of the Year for Southern Nevada in 2011-2012. He is AV-rated by Martindale-Hubbell and was profiled in Corporate Counsel Magazine as one of the best corporate lawyers in Nevada. Anderson received his B.S. and J.D. from the University of Florida and also has an L.L.M. (Tax). Prior to joining Snell & Wilmer, Anderson was a partner at Holland and Hart.

Anderson is very active in the community and has served on several charitable, business and industry boards. He is a member of the Board of Advisors of The Smith Center for the Performing Arts, a member of the Board of Directors of DRI Research Park, chairperson of the Board of Directors of the Nevada Blind Children’s Foundation and is a founding member of the Sierra Angels and Vegas Valley Angels. Anderson serves on the Board of Directors of the Henderson Chamber of Commerce and the Henderson Development Authority. He was also appointed by Governor Sandoval to the State Board of Accountancy and by Daniel Klaich, Chancellor, to the Board of the Nevada Capital Investment Corporation.

Cunningham’s practice includes advising private and public companies on a wide array of complex business and tax transactions, including mergers and acquisitions (from both the buyer and seller’s perspectives), spin-off transactions, joint ventures, partnerships and commercial finance transactions. She advises corporations and LLCs on governance issues and has extensive experience with respect to the formation, ownership and operation of limited liability companies. Cunningham has negotiated and prepared agreements relating to the ownership and operation of businesses, including operating agreements, stockholder (“buy/sell”) agreements, nondisclosure and confidentiality agreements, key employee and independent contractor agreements, management agreements, deferred compensation and equity plans and grant agreements. She has represented non-profit companies in the formation and operational phases, and with respect to obtaining federal and state tax exemption.

Cunningham draws on her varied transactional experience and accounting background to deliver practical legal advice that balances business needs with legal requirements. She serves as counsel to a wide range of businesses and individuals, including those requiring the services of an outside general counsel.

Cunningham is a member of the State Bar of Nevada, Business Law and Tax Sections; the Clark County Bar Association, the American Bar Association, Business Law and Tax Sections; the Southern Nevada Association of Women Attorneys and is active with the Nellis and Creech AFB communities. She received her J.D. from the University of Virginia School of Law, where she was a recipient of the Roger and Madeleine Traynor Award and was Editor-in-Chief of the Virginia Tax Review. She received her B.B.A. with a major in Accountancy, summa cum laude, from the University of Notre Dame. She also served as executive director of the Charlottesville Volunteer Income Tax Assistance program while in law school. She is admitted to practice in Nevada, the District of Columbia and Georgia. Prior to joining Snell & Wilmer, Cunningham was Of Counsel at Holland & Hart.
