Shearman & Sterling Advises on Cegedim S.A.’s €300 Million High Yield Bond Offering and Refinancing

Shearman & Sterling advised Cegedim S.A. on its offering of €300 million 6¾% Senior Notes due 2020. The offering, which was conducted pursuant to Rule 144A and Regulation S under the U.S. Securities Act, closed on March 20, 2013.

Cegedim, headquartered in France, is a leading provider of technology and information services to the healthcare industry, serving customers in more than 70 countries on five continents.

The firm is also advising Cegedim on its tender offer for its outstanding 7.0% bonds due 2015, which expired on March 13, 2013 and is expected to settle on March 21, 2013. The proceeds from the offering of the senior notes will be used to purchase the notes tendered in the tender offer, prepay Cegedim’s existing term loan, repay drawings under Cegedim’s existing revolving credit facility and pay related fees and expenses.
