Polsinelli Shughart expands its business tax planning services with the addition of Wade S. Leathers as a shareholder in the Chicago office. Leathers brings his broad base of experience advising corporate clients on the tax issues associated with the structuring of domestic and international transactions, including mergers and acquisitions and many types of corporate reorganizations.
“I am very excited to be able to bring my work in tax planning for businesses to the strong practice areas already offered in the Chicago office of Polsinelli Shughart,” said Leathers. “The firm’s solid foundation of corporate clients attracted me because I can help them achieve the most advantageous tax positioning for their operations.”
Among the structures that Leathers counsels clients about are joint ventures, limited liability companies, S-corporations, private equity transactions, liquidations, divestitures and spin-offs. He also assists clients facing debt restructurings, workouts and bankruptcies.
“We look forward to working with Wade on a number of projects that will enable our clients to restructure or acquire other companies with the best terms for their circumstances,” said Chicago Managing Director Anthony J. Nasharr. “Wade has a great deal of experience negotiating with the IRS and obtaining rulings in favor of companies facing IRS actions. Our clients will welcome this skill.”
Leathers’ clients include institutional investors that are structuring equity investments in real estate investment and private equity funds; companies establishing venture capital and private equity funds; and U.S. taxpayers who are structuring foreign investments. He has worked for both U.S. and foreign taxpayers in a range of international tax matters.
Leathers earned his law degree, an M.A. in accounting and a B.B.A. from the University of Iowa. He is admitted to practice in Illinois and Washington and his court admissions include the U.S. Court of Appeals, Federal Circuit; the U.S. Court of Federal Claims; and the U.S. Tax Court.
