Transcend Services Inc., represented by a Womble Carlyle team led by attorney Sandy Smith, consummated its sale to Nuance Communications, Inc. for an aggregate purchase price of approximately $300 million.
The team has represented and provided counsel to Transcend for nearly 10 years, during which time Transcend’s price per share has risen more than 500 percent.
“This was not an overnight success but a testament to the value good leadership by management and a board of directors can bring to shareholders,” Smith said.
As a subsidiary of Nuance, Transcend, a provider of medical transcription and speech editing services, will continue to provide sophisticated services in the small to mid-sized hospital market. Transcend employees and management will join the Nuance team, allowing Nuance to better serve its clients.
In addition to Smith and Lou Barbieri, the Womble Carlyle team included attorneys Betty Temple, Jeff Lawyer, James Daniel, Ted Claypoole, Sharon Johnson, Bob Ambler, John Despriet, Jamie Connelly, Sid Shenoy, Brian Fisher, Leandre Anthony and Meredith Macon.
In late 2009, Sandy Smith and his team successfully completed a nearly $43 million public stock offering for Transcend Services. Womble Carlyle also has represented Transcend Services in a number of other acquisitions and financing transactions.
