Shearman & Sterling Advises alstria office REIT-AG on Capital Increase and Offering of 28,200,000 alstria Shares

Shearman & Sterling advised alstria office REIT-AG (alstria), a German REIT-corporation listed in the Regulated Market (Regulierter Markt) of the Frankfurt Stock Exchange (S-DAX), on the implementation of a capital increase and an offering of a total of 28,200,000 alstria-shares, including 18,200,000 shares (2,200,000 greenshoe shares) from the holdings of alstria’s majority shareholder Captiva.

The capital increase against cash contribution had a volume of approximately 16% of the registered capital and was implemented under partial use of the company’s authorized capital and under exclusion of the shareholders’ statutory pre-emptive rights.
The shares were offered in a public offering in Germany and Luxembourg as well as in a private placement with qualified institutional investors (private placement) in Germany and other countries (with the exception of Australia) by means of an accelerated book building process. The new shares have been admitted for trading in the regulated market segment (Regulierter Markt) at the Frankfurt Stock Exchange, and to the sub-segment of the regulated market at the Frankfurt Stock Exchange with additional post-admission obligations (Prime Standard).
